The Aperture Lounge Membership Agreement
Studio Address: 1201 Santa Fe Drive, Suite E, Denver, CO 80204
This Membership Agreement (“Agreement”) governs the terms and conditions of membership at The Aperture Lounge (“Studio”). By enrolling in a membership, the member (“Member”) agrees to be bound by all terms outlined herein.
1. Membership Tiers and Benefits
1.1 Gallery Membership
Membership Hours: 3 hours/month
Additional Hours: $60/hour
Commitment: 2 months minimum
Rollover Hours: None
Promotional Benefits: None
Monthly Fee: $149
1.2 District Membership
Membership Hours: 6 hours/month
Additional Hours: $50/hour
Commitment: 3 months minimum
Rollover Hours: 1 unused hour to following month
Promotional Benefits: Resident social media advertisement; opportunities to photograph studio sets for personal promotional use
Monthly Fee: $299
1.3 Archive Membership
Membership Hours: 10 hours/month
Additional Hours: $40/hour
Commitment: 3 months minimum
Rollover Hours: 2 unused hours to following month
Promotional Benefits: Resident website and social media advertisement; opportunities to photograph studio sets for personal promotional use
Monthly Fee: $499
2. Billing, Payment, and Late Fees
2.1 Membership fees are billed on a recurring monthly basis starting on the enrollment date.
2.2 Fees are non-refundable once the billing cycle begins.
2.3 Minimum commitment periods must be honored. Early termination is subject to the buyout clause in Section 6.
2.4 Payment must be made via Studio-approved methods. Failure to pay within 7 days of the due date may result in suspension or termination of membership.
2.5 The Studio reserves the right to adjust membership fees with 30 days’ written notice.
2.6 Late payments may incur a 5% late fee per billing cycle until paid in full.
3. Studio Access and Scheduling
3.1 All studio sessions must be booked in advance via the Studio’s booking system.
3.2 Studio access is first-come, first-served and may be limited during events, workshops, or maintenance.
3.3 Membership access does not guarantee unlimited availability.
3.4 Rollover Hours may only be used in the month immediately following the month they were earned and cannot accumulate further.
4. Member Responsibilities
4.1 Members must leave the Studio in the same condition as it was found, including cleaning, returning furniture and props, and turning off equipment.
4.2 Members are responsible for the conduct of themselves, their clients, and their guests.
4.3 Memberships are non-transferable and may not be shared or used to reserve sessions for another individual without written consent from the Studio.
5. Additional Hours
5.1 Additional Hours beyond Membership Hours are billed at the discounted rate per tier.
5.2 Additional Hours are subject to availability and must be reserved in advance.
5.3 Charges for Additional Hours are payable within 7 days of invoice.
6. Termination and Early Buyout
6.1 The Studio may terminate a membership for repeated policy violations, non-payment, or behavior deemed disruptive or damaging to the Studio, property, or community.
6.2 Members may voluntarily terminate a membership before the minimum commitment by paying a buyout fee equal to 25% of the remaining membership balance.
6.3 Termination does not relieve the Member of responsibility for unpaid fees or damages incurred prior to termination.
7. Promotional Opportunities
7.1 Promotional benefits (social media/website features, studio-set photography) are discretionary and not guaranteed at a specific frequency.
7.2 The Studio is not liable if specific promotional opportunities are unavailable during any billing cycle.
8. Damages and Liability
8.1 Members are financially responsible for any damage to Studio property, equipment, furniture, or fixtures caused by themselves, their clients, or their guests.
8.2 Repair or replacement costs will be invoiced and payable within 7 days.
8.3 The Studio is not liable for injury, loss, or damage to personal property during membership use.
8.4 Members agree to indemnify and hold the Studio harmless from any claims, damages, or expenses arising from the Member’s or their guests’ use of the Studio.
9. Cancellation Policy
9.1 Cancellation of automatic billing must be submitted through the Studio’s membership management system.
9.2 Cancellation requests are effective at the end of the current billing cycle unless the buyout fee is applied.
10. Dispute Resolution
10.1 Any disputes arising under this Agreement will first be attempted to resolve informally with Studio management.
10.2 If unresolved, disputes will be governed by the laws of the State of Colorado and may be submitted to binding arbitration in Denver, CO.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.
12. Definitions
12.1 Studio – The Aperture Lounge, including its premises, equipment, and facilities.
12.2 Member – The individual who enrolls in a Studio membership.
12.3 Membership Hours – Hours of studio access included in the selected tier.
12.4 Rollover Hours – Unused Membership Hours that may be carried over to the following month according to membership rules.
12.5 Additional Hours – Studio hours booked beyond Membership Hours, billed at the discounted rate per tier.
13. Acknowledgment
-By purchasing a membership, the Member acknowledges that they have read, understood, and agree to all terms and conditions of this Agreement.
